Company formation guide

Start a business in Georgia from abroad

Formation from abroad can be prepared and submitted through an authorised representative. Whether you can complete the process without travelling depends on the legal form, identity checks and accepted documents. Tell us about your plans so the possible scope can be clarified before you engage any services.

Individual Entrepreneur or LLC?

IE

IE (Individual Entrepreneur): You operate as a natural person and generally bear personal liability. Small Business Status is a separate tax status, not part of registration and not automatically available.

LLC

LLC: A separate legal entity with company documents and an ownership structure. It cannot use the Small Business Status reserved for natural persons. Liability, taxation and ongoing obligations need a separate assessment.

Which steps can be handled from abroad?

NAPR’s direct remote IE service announced on 9 June 2026 is for Georgian citizens with a valid ID card or passport. It does not establish general online eligibility for foreign founders or LLCs. You can choose a legal form, discuss the scope and prepare documents from abroad. A representative may submit the registry application under a valid power of attorney. IE and LLC document requirements differ. Confirm in advance which signatures and identity evidence the registry accepts for your case. We do not promise that every case can be completed remotely.

What power of attorney and documents will you need?

Identity, authority to act and the registration documents for your legal form need checking. Foreign documents may require notarisation, an apostille or legalisation and a Georgian translation; exceptions depend on the issuing country and applicable agreements. Confirm the required form, language and certification before signing. Please do not send passport copies in your initial enquiry.

How do business registration and tax registration differ?

Article 8 of the Entrepreneurs Law links business registration with state and tax registration. First review the legal form, activity, representation and documents, then submit the business registry application. Registration does not replace an assessment of tax obligations or the separate application to the tax authority for Small Business Status. Confirm the status start date and filing and recordkeeping duties before invoicing. Banking and any residence or work authorisation remain separate steps.

When might the 1% turnover rate apply?

Under Articles 88–90 of the Georgian Tax Code, an entrepreneur natural person may apply for Small Business Status. The 1% rate covers qualifying Georgian-source income under this regime, generally on a gross turnover basis. It does not cover every activity or receipt and is not available to an LLC. Check the activity and excluded income categories against current Decree No. 415. This is not VAT; VAT obligations are assessed independently.

What happens above GEL 500,000?

If gross income from economic activity exceeds GEL 500,000 in a calendar year, the rate on income covered by the regime rises to 3% from the beginning of the crossing month until year-end, not just on the excess. The Code sets GEL 700,000 for wine and agro-tourism operators. Exceeding the applicable limit in two calendar years leads to loss of status from the beginning of the following year. Prohibited activities and other statutory grounds can also end eligibility.

Does formation change your tax residence?

Business registration or Small Business Status alone does not determine your personal tax residence. Income source, where work is actually performed, residence, management and tax or reporting duties in other countries require separate review. The regime does not remove international obligations. Obtain advice in Georgia and in the relevant country of residence.

Is banking included, and what does formation cost?

Opening a bank account is a separate application with the bank’s own KYC and source-of-funds checks. Registration guarantees neither an account nor remote onboarding. Registry fees, powers of attorney, certification, translation and support costs depend on the case. We do not quote unverified flat prices or deadlines. Agree the scope and costs in writing before engaging services.
